A U.S. LLC opened by a founder in Portugal still needs an operating agreement, ownership paperwork, a notarized Form 1583 for its mailing address, and sometimes documents for a Portuguese bank or client. The LLC filing itself is usually done within days; everything around it takes longer.
Why founders based in Portugal open a U.S. LLC
Many founders living in Lisbon, Porto or the Algarve set up a U.S. LLC to invoice clients in the United States, sell through an American platform, or hold a dollar account for revenue earned from that market. The LLC often runs alongside freelance or company status already in place in Portugal. TR Signing Group does not advise on how the LLC should be declared or taxed in Portugal: that stays with your contabilista or attorney.
TRSG's part begins once the documents themselves need a signature, a notarization or an apostille rather than advice on how the company should be structured or reported.
The company paperwork a U.S. LLC produces
Once the filing is complete, a bank or partner usually asks for the same handful of documents:
- Operating agreement. The document that sets the internal rules for the LLC. Banks ask for it even when there is only one founder.
- Membership certificate. Shows who owns the company. TRSG's guide on what banks mean by ownership documentation walks through the usual formats a bank will accept.
- Ownership declaration or resolution. Names who can sign for the company and open accounts on its behalf. This is the document most often sent back when a notarization is missing or incomplete.
TRSG executes these corporate and ownership documents so the founder's name and address match across the operating agreement, the certificate and any resolution a bank already has on file.
Form 1583 and a U.S. mailing address
Most founders in Portugal also rely on a virtual mailbox to give the LLC a U.S. address that can receive mail from banks, clients and tax authorities. Before the provider can accept mail for the company, USPS requires a notarized Form 1583 with two forms of identification. TRSG's guide to Form 1583 from Portugal covers what identification tends to work and how the online session runs. TRSG executes the notarization directly through Form 1583 notarization for virtual mailboxes.
Getting a Portuguese bank or client to recognize the company
Some founders also need the U.S. LLC recognized in Portugal: to open a local account for receiving distributions, satisfy a client, or register an activity. Portuguese recipients differ in what they accept, a scanned copy for one, a certified copy for another, an apostilled original for a third, and there is no shortcut around asking the specific institution first. Once that answer is in hand, TRSG prepares the document accordingly, adds an apostille only where one is actually requested, and ships the signed original abroad with tracking.
Signing from Lisbon or Porto without flying over
Signatures happen one of three ways: a recorded online notarization session for documents a recipient accepts electronically, wet ink on a printed original mailed or couriered when paper is required, or coordination with a co-founder or manager already in the United States. An evening appointment in Portugal still lines up with the afternoon on the U.S. East Coast, which usually leaves a workable window.
Deciding in advance whether a recipient wants an electronic signature or a wet ink original saves a second round later. A Portuguese bank that receives a document signed online when it expected a physical original, or the other way around, will typically send the request back rather than make an exception, so confirming the format first is worth the extra question.
Agencies and digital nomads billing from Lisbon
A founder running a small agency from Lisbon under freelancer or company status in Portugal often opens a U.S. LLC specifically to invoice American clients in dollars and avoid repeated currency conversion. The paperwork a U.S. payment platform asks for in that case is usually light: the operating agreement, one ownership declaration, and the notarized Form 1583 for the mailing address. It only grows heavier once a Portuguese bank is added to the picture, since that bank will want its own proof of who controls the U.S. company before accepting transfers from it.

Questions we hear often
Can the paperwork for a U.S. LLC be completed from Portugal without a U.S. visit?
Generally yes, through an online notarization session or a wet ink signature mailed internationally. A small number of recipients still want an in-person signer.
Is an operating agreement needed if there is only one founder?
Most banks ask for one anyway. Your contabilista can confirm whether anything changes for a sole founder under Portuguese reporting.
How does the Form 1583 session work from Lisbon or Porto?
It is a short video call where you present two forms of identification and sign in front of a notary. Evening appointments in Portugal generally line up with the U.S. workday.
Will a bank in Portugal ask for an apostilled copy of the LLC documents?
Sometimes, depending on the bank and what the document is for. Confirm directly with that institution before anything is executed.
Can TR Signing Group tell me how to declare the LLC's income in Portugal?
No. That is for your contabilista or attorney to answer. TRSG handles the execution of documents, not tax reporting.
Notary and document-execution services only. TR Signing Group does not provide legal, tax or immigration advice and is not affiliated with USCIS or any government agency.
