A U.S. LLC formed from Ghana exists as soon as the state accepts the filing, but a bank or payment platform will still want a signed, notarized paper trail before it treats the company as real. None of that paperwork requires travel.
This guide stays on that American execution side. Ghanaian tax questions and the legal structure of the business belong to your accountant or attorney.
The gap between filed and ready for a bank
Articles of organization and an EIN confirm that the LLC exists. They do not answer the questions a bank's compliance team asks next: who actually controls the company, who can sign on its behalf, and where its mail goes, and they say nothing about what happens once a member changes or a deal needs a specific person's signature. Founders signing from Accra or Kumasi usually need to close a few gaps:
- A signed operating agreement, not an unsigned draft.
- Ownership documents naming members and, for multi-member companies, how each person's share is recorded.
- A U.S. mailing address set up with its own notarized authorization.
- A printed original for the rare recipient that insists on wet ink.
Family-owned and multi-member companies sign more documents
A number of Ghanaian-run U.S. LLCs have more than one member, often family or long-time business partners splitting trading or import-export work. Multi-member companies tend to generate extra paperwork: a resolution naming which member can sign bank forms, an operating agreement spelling out how decisions get made, and sometimes a separate ownership declaration for each member. Keeping names spelled identically across every document, including passports, saves a second round of signatures later. Some banks also ask for a letter confirming that the LLC is in good standing with the state; that letter comes from the state itself rather than from a notary, but it is often shipped or scanned alongside the signed paperwork.
Form 1583 for a U.S. address
A virtual mailbox gives the LLC a stable U.S. address for bank letters, tax notices and supplier mail. Providers require a notarized Form 1583 before activating the box, naming the company and the person responsible for its mail. TR Signing Group handles Form 1583 notarization for virtual mailboxes, and Form 1583 for an LLC covers what changes when the box belongs to a company rather than one person.
What a payment platform means by proof of ownership
Payment platforms and banks that ask who owns the LLC want a document, not a conversation: a membership certificate, a declaration of beneficial owners, or a resolution, depending on what they request. TR Signing Group executes these as notarized corporate ownership documents. For the reasoning behind these requests, see proof of ownership for an LLC.
When a scan will not do
Some banks and larger trading partners still insist on a wet-ink original, most often for a resolution tied to opening or changing a bank account. From Accra, that generally means printing the finished, notarized document, signing it again in ink, and shipping it with a tracked courier, since ordinary mail gives neither side a dependable way to confirm it arrived. Keeping a complete scan on file before the package ships lets the bank move ahead with a copy while the original is in transit, and gives the company something to point to if a page goes astray.
Options for signing from Ghana
Founders in Ghana can use the U.S. Embassy, a local notary whose certificate some recipients accept, or remote online notarization with a U.S. commissioned notary. For routine bank and mailbox paperwork, an online session with a New Jersey notary tends to be the fastest path, since it avoids appointment waiting lists, and evening sessions in Accra generally line up with the working day in New Jersey. Our country guide, notarizing U.S. documents from Ghana, covers the embassy and local-notary routes in more detail. Whichever route a founder picks, the document itself should be final before the session starts; changing wording after signing means starting the notarization over, since the notary certifies the exact pages that were signed in front of them.
How TR Signing Group handles it
TR Signing Group reviews what a bank, platform or mailbox provider asked for, prepares the operating agreement or resolution for signature, runs the notarization remotely with a commissioned New Jersey notary, and ships printed originals when a scan is not enough. Formation and tax structure stay with your accountant. For multi-member companies, TR Signing Group also keeps track of which version of the operating agreement each member signed, so a later request does not turn into a search through old email threads. Questions we hear often
Do all members of a Ghanaian-run LLC need to sign every document?
It depends on what the document covers and what your operating agreement says about authority. A resolution naming a single signer can often cover routine bank paperwork; your attorney can confirm what applies to your company.
Can I use a local Ghanaian notary instead of a U.S. one?
Some U.S. recipients accept a local notarization, often with an apostille or further legalization, and others ask specifically for a U.S. notary. Confirm with the recipient before choosing a route.
What identification do I need for a remote session from Ghana?
A valid passport is the standard requirement. The notary verifies your identity on camera, so make sure your name matches across the document and your ID.
My Form 1583 came back needing correction. What usually causes that?
A name that does not match the passport exactly, or a company name that differs from the filed articles, are the most frequent reasons. Checking both beforehand avoids most corrections.
Can TR Signing Group advise on how to structure ownership among co-founders?
No. Ownership structure is a legal and tax decision for your attorney or accountant. We execute and notarize the documents once that structure is decided.
