A founder in São Paulo, Belo Horizonte or Rio de Janeiro can have a U.S. LLC approved and an EIN issued without ever setting foot in the United States, and from there a bank still wants its own paperwork before it opens an account. The filing proves the company exists; it does not prove who runs it or where its mail goes.
What a U.S. bank wants once the entity exists
A bank reviewing a new LLC from Brazil treats the state filing and the EIN letter as a starting point, not a complete file. It separately asks for a signed agreement between the members, a document naming who owns the company, and a current list of who can sign on its behalf, before it opens an account or lifts a hold on one. None of those three documents gets generated automatically when the state approves a filing; each one has to be drafted, signed and in most cases notarized before a reviewer will accept it.
Three documents a founder in Brazil usually ends up signing
- A membership or operating agreement, signed by every owner named in the filing.
- An ownership letter or certificate, worded to match what the bank or platform specifically asked for.
- A resolution naming who can open accounts, sign contracts or represent the company, whenever more than one person is involved.
TR Signing Group prepares and notarizes that set through the corporate ownership document service, matching the wording to whatever the recipient requested rather than a generic form.
Those three documents do not stay settled once signed. A founder who brings on a second owner, swaps who can sign for the company, or simply lets a signer list go stale for a year or two will usually need a fresh resolution before the next bank review, rather than relying on the original paperwork from the day the LLC was formed.
A São Paulo seller's account hold, worked through
An online seller in São Paulo running a U.S. LLC through a marketplace will sometimes find a payout on hold with a short explanation: confirm ownership, confirm the mailing address, send a signer list. Nothing about the hold relates to the quality of the business; the platform is simply missing a document it wants on file. A dated ownership letter and resolution, signed and notarized in a single remote session, usually clears that kind of hold faster than a written explanation does on its own.
Where an accented name causes a mismatch
A compound surname or an accented letter that reads one way on a Brazilian passport can be typed slightly differently on a U.S. filing, a bank form or a mailing authorization. Checking that the name matches, character for character, across the passport, the agreement and any form submitted to a bank takes a few minutes and avoids the single most common reason a document comes back unsigned. Our guide on why a Form 1583 gets rejected walks through this and other fixable mismatches. Correcting it before a session, rather than after a document comes back, usually means signing once instead of twice.
Signing from Brasília, São Paulo or Rio without flying
A visit to the embassy in Brasília or a consulate in São Paulo, Rio de Janeiro or Recife works for founders who would rather sign in person, subject to appointment availability. A Brazilian notary can handle it instead if the U.S. recipient confirms in advance that it will accept that route, sometimes with an apostille attached. Remote online notarization with a commissioned U.S. notary skips both and fits into a normal working day for most of Brazil; our guide on notarizing U.S. documents from Brazil compares all three in more depth. Founders working through a similar time gap from elsewhere in the region face the same scheduling question, as our guide on a U.S. LLC from Mexico covers for a nearer time zone.
When a recipient will not take a scan
Some banks and a few government recipients insist on an original signature rather than a PDF. When that happens, either arrange for someone already in the United States to sign under the company's authorization, or print, sign and ship the page from Brazil by tracked courier, with a full scan saved before it leaves. Plan around a customs buffer rather than a fixed delivery date, since that step is the one most likely to slip. Keeping a dated scan of the signed page on file also gives a bank something to work from if the original is still in transit when a deadline comes up.
How TR Signing Group handles it
TR Signing Group manages the signing and notarization that follows a U.S. LLC filing for founders based in Brazil: ownership letters and resolutions worded to match what a bank or platform requested, remote sessions with a New Jersey commissioned notary, and Form 1583 for a U.S. mailing address when mail needs a stable home. Brazilian tax and reporting questions stay with your contador or your attorney. Start with U.S. LLC support for foreign founders, or send your document list through a quote request.

Questions we hear often
Does a U.S. bank accept the state filing and EIN letter on their own?
Rarely as the complete file. Most banks also want a signed ownership document and a current signer list before they open or clear an account.
My marketplace account is on hold asking for proof of ownership. What does that mean?
It usually means the platform wants a dated ownership letter or certificate on file, not that anything is wrong with the business itself.
Will an accent in my name cause a problem on a U.S. document?
It can, if the accent or a compound surname is typed differently across your passport, your filing and any form submitted to a bank. Check that every document matches exactly.
Does a Brazilian notary's signature work for a U.S. bank?
It depends on the bank, and sometimes on whether an apostille is attached, so confirm with the recipient before choosing that route.
Can TR Signing Group help with Brazilian tax reporting for my LLC?
No. That stays with your contador or attorney. TR Signing Group handles the U.S. signature and notarization once the documents are ready.
